Monday Biotech Deal Review: May 16, 2011

Welcome to your Monday Biotech Deal Review for May 16, 2011. Angiotech has completed its second amended and restated plan of compromise or arrangement, cleaning up USD$250M in debt in respect of 7.75% senior subordinated notes, which are now cancelled, and has also resulted in the restructuring of $325M of existing floating rate notes through an exchange transaction.  There was also interesting licensing activity, notably involving Paladin Labs.  Lastly, Arch Biopartners announced their development achievement of a “bio-steel” material that is approximately 40% harder and 50% less corrosive than regular stainless steel.  Read on to learn more.   Read more of this post

B&W_BigNickelA very busy deal week coincided with a very busy work week (for those of us with day jobs), so allow me a particularly grateful thank-you to Jacob Cawker, who’s been an invaluable help with the Deal Review this and the last several weeks.  After the jump, licenses both inbound, outbound and just tied up (optioned); securities extended and accelerated (plus an actual common share offering, with the word “units” banished for one special week); and last but not least, a good volume of Canadian M&A (M&Eh?) from private to public to “just browsing.”  Read more of this post

Trends Update — Commercialization by Nonprofit Foundations: iCo-CPDD Deal, plus MJFF Comes to Canada

One of the trends we’ve been keeping an eye on this year is the increasing willingness of nonprofit foundations to fund and support commercial product development.  Two updates today:

  1. iCo Therapeutics Inc. (TSX-V: ICO) is collaborating with the Consortium for Parasitic Drug Development (CPDD) to optimize one of iCo’s products for tropical conditions.  (That’s CPDD as in development of drugs to combat parasitic diseases, by the way, not a new and selfish approach to drug development.)  CPDD, a Bill & Melinda Gates Foundation grantee, is making an initial contribution of USD $182,930 to iCo’s work.
  2. The Michael J. Fox Foundation, which has been very active in providing funding to companies working on Parkinson’s treatments, has registered as a tax-exempt charity in Canada.  Hopefully this will open the door for more Canadian collaborations.
